Standard Terms and Conditions

These general conditions for promotions and campaigns apply to campaigns and other promotional activities organised by ProfitShare Partners (the Provider). By participating in these promotions and campaigns, the participant agrees to the following Campaign Terms and Conditions. In addition, each campaign and/or other promotion may have specific terms and conditions mentioned in the campaign rules. In the event of a conflict between these standard terms and conditions and any campaign specific rules, the campaign specific rules will apply.

  1. A participant’s entry into the campaign and/or your acceptance of a prize (in the event that they win a prize) constitutes such participant’s binding acceptance of the terms and conditions on behalf of the participant.
  2. Only South African registered businesses may participate in the campaign and/or promotion.
  3. This campaign starts 1 June 2020 and closes on 30 April 2021 and is open to all SME business members of the public but specifically excluding staff and relatives of the Provider and cohabiting partners or family of the aforementioned employees as well as any participants/suppliers in respect of the particular campaign/promotion (including advertising agencies, advertisers, sponsors or producers) or any SME businesses owned by the abovementioned.
  4. All participants are obliged to provide accurate, current and complete information when participating in the campaign or promotion. The Provider may request a winner, before presenting the award or prize, to provide proof of their identity and residence information. Furthermore, the Provider reserves the right to, in its sole and absolute discretion, request from a participant any further documentary evidence which may reasonably be required by the Provider in the course and scope of deliberating any campaign, verifying an entry by the participant or selecting a winner.
  5. In order to be eligible to enter into any campaign or promotion, a qualifying SME business must obtain an obligation-free quote from the Provider. Multiple entries into any campaign or promotion are not permitted as entries are counted on a per business basis and not by the number of quotes obtained.
  6. It is the participant’s responsibility to ensure that their entry is received by the Provider prior to the closure of the campaign. Any entries which are not received by the Provider prior to the closure of the campaign will not be eligible to participate, regardless of the reason for the late entry. The Provider and its affiliates are not responsible for any entries which are not received by them, whether timeously or at all, regardless of the cause thereof. Without limitation, the Provider and its affiliates are not responsible for any problems or technical malfunction of any telephone network or lines, computer on-line systems, servers, or providers, computer hardware or software failure or malfunction, traffic congestion (whether physical, or on the Internet, telephone lines or at any service provider, web site or other device or medium), or any combination thereof, or any other technical or other problems.
  7. Any costs or expenses which may be incurred by the Provider in participating in a campaign and/or the acceptance and/or use of a prize are for the account of the participant. The Provider will not be responsible for any costs or expenses which the participant may incur.
  8. The Provider does not make any representations or give any warranties, whether expressly or implicitly, as to a prize, and in particular, but without limitation, makes no representations and gives no warranty that –
    1. a participants entry or participation in the campaign will necessarily result in them winning a prize;
    2. a prize, or any aspect thereof, will meet a participant’s requirements, preferences, standards or expectations; or
    3. a prize, or any aspect thereof, will be satisfactory, punctual, free from defects, safe or reliable.
  1. The Provider and its affiliates will not be responsible for any harm, damage, loss or claim relating to the provision of any element of a prize or any changes to a prize that may be made at any time.
  2. The capital provided and monthly giveaways during this promotion are non-transferable and cannot be exchanged for cash or any other item.
  3. A participant may not win a prize if it is unlawful for the Provider to supply such a prize to that participant. If a participant wins a prize but it is unlawful for such participant to have won such prize, the participant will forfeit it.
  4. The participant must possess whatever documents and permissions that may be required in order to accept and use a prize and which documents and permissions must remain valid in such minimum form and for such minimum period after the prize date as may be required by the relevant authorities.
  5. The winners will be notified by means of the contact details provided to the Provider. If the Provider, or a third party supplier is, unable to contact a winner within 30 days or if the winner is unable to collect the prize within 60 days, the winner will forfeit the prize and the Provider reserves the right to select a new winner.
  6. A participant that wins a prize may be invited to be present when the prize winners are determined or announced, to participate in any of the Provider’s marketing activities, to appear in person in the electronic media and/or the print media, and/or to endorse, promote or advertise any of the Provider’s goods or services, for which no fee, royalty or other compensation will be payable.
  7. The Provider reserves the right to vary, postpone, suspend, or cancel the campaign and any prizes, or any aspect thereof, without notice at any time, for any reason which it deems necessary. In the event of such variation, postponement, suspension or cancellation, the participant agrees to waive any rights, interests and expectations that it may have in terms of this campaign and acknowledges that it will have no recourse against the Provider or its affiliates.
  8. The participant agrees that its participation in the campaign, and acceptance and/or use of a prize, or any aspect thereof, is at its own risk.
  9. The Provider and its affiliates will not be responsible, and disclaim all liability, for any loss, liability, injury, expense or damage (whether direct, indirect, incidental, punitive or consequential) of any nature, whether arising from negligence or any other cause, which is suffered by a participant’s participation in the campaign or the acceptance and/or use of any prize, or by any action taken by the Provider or any of its affiliates in accordance with the terms and conditions.
  10. The decision of the Provider is final, and no correspondence will be entered into regarding results and the awarding of the prize or promotional award.
  11. If the participant fails, to comply with any of the terms and conditions, then without prejudice to any other remedy which the Provider may have, –
    1. the participant will be automatically disqualified and will forfeit the prize/s (in the event that the participant has already won a prize);
    2. the participant will pay the Provider for any loss or damage incurred by the Provider directly or indirectly as a result of the participant’s non-compliance, including all of the Provider’s legal costs (including attorney and own client costs) which may be incurred by the Provider in taking any steps pursuant to the participant’s non-compliance; and
    3. the participant indemnifies and holds the Provider and its affiliates harmless against any claim by any person, (whether direct, indirect, incidental, punitive or consequential) of any nature, whether arising from negligence or any other cause, relating to any death, injury, loss and/or damage which may be suffered howsoever arising in relation to the participants failure to comply therewith.
  1. These terms and conditions will be construed, interpreted and enforced in accordance with the laws of contract and dispute resolution in the Republic of South Africa
  2. The Provider reserves the right to amend or alter these terms, the conditions of a campaign, the requirements of a promotion at any time and reject entries from entrants who act outside of the fair spirit of the campaign and/or promotions.

R10 MILLION CAPITAL PER MONTH
CAMPAIGN RULES, TERMS & CONDITIONS

In addition to the standard terms and conditions for promotions and campaigns, the following rules apply.

    1. The SME must have downloaded and activated an account on the getlion mobile app.
    2. The SME applicant must be in possession of a valid Purchase Order (PO) or contract from a reputable private or public sector organisation.
    3. The capital amount for the application must be between R250,000 and R5,000,000 to qualify for the promotion and applies to any of the following capital solutions:
      1. Purchase Orders
      2. Invoice Capital
      3. Growth Capital Support
      4. Short-term Contract Financing
    4. The capital applies only to the supply and delivery of goods and services. High performance risk transactions such as Construction, fleet or other long-term (greater than 365 days) related transactions do not qualify for this campaign.
    5. The SME’s transaction must be concluded within 30 to 365 days from the approval of the application for capital.
    6. Over and above the capital support, ProfitShare Partners may make available advisory and negotiation support to the SME for the duration of the transaction period to ensure the SME’s success.
    7. The outcome/s of the campaign is/are subject to the decision of the judge, presenter and/or organiser of the promotion whose decision/s is/are final. No negotiations and/or correspondence will be entered into after the fact.
    8. ProfitShare Partners reserves the right to withdraw or cancel the campaign if the applicant does not comply with the capital support terms and conditions.
    9. The capital provided under this campaign is not transferrable and may not be used for anything other than its intended purpose, as specified by the capital agreement.

R10,000 BUSINESS GIFT VOUCHER
CAMPAIGN RULES, TERMS & CONDITIONS

In addition to the standard terms and conditions, the following rules for the campaign will apply.

  1. The SME must have downloaded and activated an account on the getlion mobile app.
  2. Only participants who sent a message telling us what R10,000 would do for their business on the Hot 91.9FM WhatsApp line: 084 2212 919 will qualify for the prize.
  3. Only business owners, or people who want to start a business, qualify for the prize.

The R10,000 prize will be issued in the form of vouchers and may only be used for business-related purchases.

R1 MILLION GRAND CASH PRIZE
CAMPAIGN RULES, TERMS & CONDITIONS

In addition to the standard terms and conditions, the following rules for the campaign applies.

  1. Only SMEs that have applied and successfully received capital support from ProfitShare Partners between 1 June 2020 and 30 April 2021 qualify for the prize.
  2. The SME that has created the most, new, permanent jobs between 1 June 2020 and 30 April 2021 will qualify for the grand and final prize.
  3. The SME must have an active account on the getlion mobile app, where business activity will be tracked during the period.
  4. The SME will need to show meaningful growth since receiving capital support from ProfitShare Partners.

The SME that has created the most net jobs between 1 June 2020 and 30 April 2021 will qualify for the grand and final prize of R1 million cash for that business. The winner will be selected by a panel of judges in May 2021. The judges’ decision is final, and no further correspondence will be entered into.
